Position Summary
Organization and conduct of internal legal assistance in the Company
Principal responsibilties
- To prepare the company's charter, corporate and internal normative documents, amendments and additions to them, orders, decisions and protocols of governing bodies and to give legal opinions on these documents, to ensure state registration of constituent documents and other required documents;
- To provide legal support to the activities of subsidiaries and affiliates of the Company, as well as branches and representative offices;
- To give legal opinion on documents submitted by the Company and its structural subdivisions, including letters, orders, rules, regulations, instructions, policies, explanations and other documents, to make necessary corrections and other legal support in this regard, as well as to send inquiries to these structural subdivisions and require them to respond to those inquiries;
- To investigate the legal aspects of appeals received from individual enterprises and organizations, as well as individuals and legal entities, and issue legal references on the results;
- To prepare drafts and legal expertise of all types of contracts concluded by the Company;
- To give a legal opinion on the legal risks in the provisions of the agreements concluded by the Company;
- To defend the interests of the Company in courts and arbitrations, to sign a claim by the decision of the Company, to submit the case to the jury, to reject the claim in whole or in part, to admit the claim, to change the subject or basis of the claim, to agree to settle the dispute through mediation to carry out all legal documentation related to the issuance, enforcement of a court decision, confiscation of confiscated property or money, to give an opinion and apply for the issuance of the required internal reference, report, explanation and other materials in this regard;
- To represent the Company in foreign arbitration institutions and provide required legal support;
- To represent the Company in relations with state bodies and legal entities and provide necessary legal support in accordance with the instructions of the line manager;
- To give a legal opinion on the documents on bringing employees to administrative and financial responsibility;
- To provide legal support for the issue and withdrawal of the Company's securities and to provide legal support for the purchase and sale of securities of other issuers ;
- To apply to the management for the involvement of consultants required for legal support in other jurisdictions and to communicate with these consultants on the legal aspects of the Company's activities, to give them instructions, to inform the relevant structural units about the received advice and to provide information on their work and services. to give an opinion on handover;
- To conduct legal trainings in accordance with the scope and needs of the Company;
- To summarize and analyze the results of arbitration and litigation, as well as investigate and report to the line manager on the practice of concluding and executing contracts on the instructions of the director of the Company to improve the economic and financial performance and eliminate the identified shortcomings;
- To carry out other tasks related to the goals and functions of the department based on the instructions of the director of the department.

Experience:
- At least 6 years of work experience as a lawyer
- Work experience in corporate law
- Work experience in commercial matters
- Judicial practice
- Work experience with governmental agencies
Language skills:
- Advanced level of Azerbaijani and English languages
